You have to consider what formats you're working in, and how you want to
address the composition problem.  If you're just going from NTSC or 601
to more of the same, the effects box in any online bay will suffice.  You
make a 1.78 letterbox, or a full height squeezed image.  In either case,
be cropping off part of the image, and that's the hard part to do without
the compositions.

If you're looking at HD, the big players in up/down converters are Snell &
and Techniche.  But there's a little company called V.A.S. Group that's
fast on the market leaders.  You might want to contact Tim Ready,
